By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. Hyperbeamads operates a commission-based marketplace connecting brands with creators for advertising content. Our Platform enables brands to source ad creative content and pay commissions based on actual ad spend, while allowing creators to monetize their work through performance-based compensation.Please read these Terms carefully before using our Platform. If you do not agree to these Terms, you must not access or use our Platform. By using our Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Definitions

In these Terms, the following definitions apply:

• "Hyperbeamads," "we," "us," or "our" refers to Hyperbeamads and its subsidiaries and affiliates.

• "Platform" refers to our website, applications, services, and tools.

• "User," "you," or "your" refers to individuals who access or use our Platform.

• "Brand" refers to businesses, organizations, or individuals who use our Platform to find and commission ad creatives.

• "Creator" refers to individuals or entities who provide ad creative services through our Platform.

• "Content" refers to any material uploaded, posted, submitted, or displayed on our Platform, including but not limited to text, graphics, images, audio, video, and creative works.

• "Commission" refers to the percentage of ad spend paid to Creators when Brands use their content.

• "Ad Spend" refers to the amount spent by Brands on advertising using Creator content.

• "Platform Fee" refers to the fee charged by Hyperbeamads for using the Platform.

  
  

3. Account Registration and Eligibility

3.1 Account Creation

To use certain features of our Platform, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information

• Maintain and promptly update your account information

• Keep your password secure and confidential

• Be responsible for all activities under your account

• Notify us immediately of any unauthorized use or security breach

  
  

3.2 Eligibility Requirements

By creating an account, you represent and warrant that:

• You are at least 18 years old

• You have the legal capacity to enter into these Terms

• You are not prohibited from using the Platform under applicable laws

• You have not previously been suspended or removed from the Platform

  
  

3.3 Account Types

Our Platform offers two primary account types:

• Brand Accounts: For businesses seeking ad creative content

• Creator Accounts: For individuals or entities providing creative services

Each account type has specific features, permissions, and responsibilities as detailed in these Terms.

3.4 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion. Upon termination:

• Your access to the Platform will be revoked

• Any pending transactions may be canceled

• You may no longer have access to your account information or content

You may also request to delete your account at any time, subject to the completion of any outstanding obligations.

4. Platform Services

4.1 For Brands

Our Platform enables Brands to:

• Browse and approve ad creatives from Creators

• Run approved creatives as ads on social media platforms

• Track performance and ad spend of approved creatives

• Pay commissions based on actual ad spend

• Communicate with Creators

4.2 For Creators

Our Platform enables Creators to:

• Upload ad creative content

• Connect with Brands seeking ad content

• Post approved content to their social media accounts

• Earn commissions based on ad performance and spend

• Track performance of their creative content

• Build a portfolio of work within the Platform

  
  

4.3 Service Limitations

Hyperbeamads does not guarantee:

• That Brands will approve or use any specific Creator's content

• Any minimum level of earnings for Creators

• The performance or effectiveness of any creative content

• Continuous, uninterrupted access to the Platform

• Compatibility with all devices, browsers, or operating systems

  
  

4.4 Platform Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Platform without liability.

5. Commission and Payments

5.1 Commission Model

Hyperbeamads operates on a commission-based model:

• Creators earn a percentage (Commission) of ad spend when Brands run their content

• Brands only pay for ad creatives that they actually use and run

• Hyperbeamads charges a Platform Fee as specified in our current pricing structure

  
  

5.2 Commission Rates

Commission rates may vary based on:

• Individual agreements between Brands and Creators

• Type of creative content

• Platform-wide standard rates

• Special promotions or programs

Commission rates will be clearly displayed before a Brand approves content from a Creator.

5.3 Payment Processing

Payment processing works as follows:

• Ad spend is tracked through connected social media accounts

• Commissions are calculated based on verified ad spend data

• Payments to Creators are processed on a regular schedule (typically monthly)

• All payments are subject to verification of ad spend data

• Platform Fees are deducted from transactions as applicable

  
  

5.4 Payment Methods

We accept various payment methods, which may include:

• Credit and debit cards

• ACH transfers

• PayPal

• Other payment methods as specified on the Platform

  
  

5.5 Taxes

All Users are responsible for:

• Determining what taxes, if any, apply to transactions conducted through the Platform

• Collecting, reporting, and remitting the correct tax to the appropriate tax authority

• Providing accurate tax information as required

Hyperbeamads is not responsible for determining whether taxes apply to your transactions or for collecting, reporting, or remitting any taxes arising from any transaction.

5.6 Currency

All payments and fees are in US Dollars, unless otherwise specified. For users outside the United States, currency conversion fees may apply.

5.7 Disputes

Payment disputes must be submitted in writing within 30 days of the transaction date. We will review and respond to all disputes in a timely manner.

6. Social Media Integration

6.1 Platform Connections

Our Platform integrates with third-party social media platforms. By connecting your social media accounts, you:

• Authorize us to access and use your account information as permitted

• Agree to comply with the terms and policies of those platforms

• Acknowledge that we are not responsible for the practices of those platforms

6.2 Branded Content Relationships

For the Platform to function properly:

• Creators must allow Brands to promote their content as branded content or partnerships

• Brands must use the appropriate branded content/partnership tools when promoting Creator content

• Both parties must maintain the proper relationship designations within social media platforms

  
  

6.3 Advertising Compliance

All advertising content must comply with:

• The terms and policies of the relevant social media platforms

• Applicable advertising laws and regulations

• Industry standards for disclosure and transparency

• Our content guidelines as updated from time to time

  
  

6.4 Account Disconnection

You may disconnect your social media accounts from our Platform at any time, but doing so may limit your ability to use certain features. Disconnection does not affect previous transactions or content already shared.

7. User Conduct

7.1 General Conduct

You agree not to:

• Violate any applicable laws or regulations

• Infringe on intellectual property rights of others

• Upload harmful, offensive, or inappropriate content

• Misrepresent your identity or relationship with others

• Interfere with the operation of the Platform

• Attempt to gain unauthorized access to the Platform

• Use the Platform for any illegal or unauthorized purpose
